1. Scope and Contractual Framework
These Client Terms and Conditions (the “Terms”) govern the use of the digital platform, trading services, asset management services, and any other related services offered by Obdios Capital Limited (the “Company”, “Novellis”, “we”, “us”, or “our”).
Obdios Capital Limited is a limited company incorporated under the laws of the United Kingdom. The registered office of the Company is located at 72 Alexandra Road, Richmond, Richmond Upon Thames, TW9 2BST, United Kingdom.
Use of the platform is subject to the Client’s acceptance of these Terms and any applicable supplementary policies, product terms, and contractual documents.
By registering, opening a client account, or continuing to use the platform, the Client confirms that they have read, understood, and accepted the applicable contractual terms.
2. Amendments to the Terms
Novellis may amend or supplement these Terms where this is necessary or appropriate due to legal, regulatory, technical, or operational requirements.
Any amendments will be communicated to the Client in an appropriate manner. Where express consent is legally required, such consent will be obtained before the relevant amendment takes effect.
The Client is responsible for reviewing the latest version of these Terms and any applicable supplementary policies.
3. Account Opening and Client Acceptance
3.1 Registration
Certain services require the Client to open an account.
The Client agrees to provide complete, accurate, and up-to-date information during registration.
In particular, the Client must not use:
another person’s identity;
a false name;
incorrect address information;
another person’s email address; or
any other misleading information.
3.2 Identity Verification
The opening and activation of an account may be subject to successful identity, compliance, and KYC verification.
Novellis may request additional documents or information where necessary to verify the Client’s identity, source of funds, beneficial ownership, or compliance with applicable legal and regulatory requirements.
3.3 Rejection of an Account Application
Novellis may reject an account application or restrict an existing business relationship where applicable legal, regulatory, security, or internal compliance requirements are not satisfied.
4. Use of the Platform
The platform may only be used for lawful purposes and in accordance with its intended functions.
The Client agrees in particular to:
keep their login credentials confidential;
protect their account against unauthorized access;
not circumvent any security mechanisms of the platform;
not carry out technical manipulations;
not conduct unlawful transactions; and
not engage in activities that could impair the operation or security of the platform.
The Client must notify Novellis without undue delay of any suspected unauthorized access or other security incident affecting their account.
5. Electronic Communication
Communication between Novellis and the Client may take place electronically.
This may include communication through the Client account, internal messaging systems, and the email address registered with the Company.
The Client agrees that contractual documents, notices, statements, confirmations, and other information may be provided electronically, to the extent permitted by applicable law.
6. Trading Services and Order Execution
Prices, rates, spreads, and other market data may change at any time.
Values displayed on the platform may be indicative. The conditions applicable at the time of execution and the corresponding transaction confirmation shall be decisive for an executed transaction.
Due to market movements, liquidity, technical delays, or other circumstances, the actual execution price may differ from a previously displayed price.
In the event of obvious technical or pricing errors, Novellis reserves the right to review and, where appropriate, correct transactions in accordance with applicable law.
7. Trading and Investment Risks
Trading in financial instruments and investing in financial products involves significant risks.
Investment performance may be positive or negative. Depending on the product and investment strategy, the Client may lose some or all of the invested capital.
Past performance is not a reliable indicator of future results.
Where expected, projected, or illustrative returns are displayed on the platform, these do not constitute a guarantee of future performance.
The Client should make investment decisions taking into account their individual financial circumstances, risk tolerance, and investment objectives and should seek independent professional advice where appropriate.
8. Digital Asset Management and Long-Term Investment
Where the Client uses an applicable asset management service, assets may be managed in accordance with an agreed investment strategy.
Such services may involve quantitative models, algorithmic methods, technical analysis, and professional market and risk analysis.
The specific structure and scope of the relevant service shall be determined by the individual agreement, applicable product terms, and relevant information documents.
No particular investment performance can generally be guaranteed unless such guarantee has been expressly and legally agreed.
9. Client Funds and Asset Protection
Client funds shall be managed in accordance with the legal and regulatory requirements applicable to the relevant service.
Where required by law or provided for under the applicable contractual arrangements, client funds may be held separately from the Company’s own operating funds.
The scope of any statutory deposit protection or investor compensation scheme shall be determined exclusively by the applicable statutory protection system, including its eligibility requirements, conditions, and exclusions.
Any statements regarding a potential level of protection do not constitute an additional guarantee by the Company.
10. Fees and Remuneration
Fees, commissions, or other costs may apply to certain services.
The applicable fees will be disclosed to the Client transparently before or in connection with the relevant service, where applicable.
10.1 Broker Commission
For certain trading or asset management services, a broker or intermediary commission of 30% of the agreed applicable net result may apply, provided that this is expressly stated in the relevant agreement or fee schedule.
The applicable calculation basis, due date, and payment method for the commission shall be specified in the relevant contractual documentation.
Where a commission becomes payable prior to a withdrawal, the withdrawal of the relevant amount may be subject to prior settlement of the outstanding commission.
10.2 Additional Costs
Additional costs may arise in connection with payment processing, currency conversion, external service providers, or special services.
Where possible, all applicable costs will be disclosed before the relevant transaction is carried out.
11. Taxes and Tax Obligations
The Client is generally responsible for fulfilling all tax obligations applicable to their investment income, profits, withdrawals, or other income.
Depending on the Client’s country of residence, type of investment, amount of income, and applicable tax law, taxes, levies, or other statutory obligations may arise.
Where Novellis is legally required to withhold, report, or remit taxes or other statutory charges, the Company may comply with the applicable legal requirements.
The Client should consult an independent tax advisor regarding their individual tax circumstances where appropriate.
12. Deposits and Withdrawals
Deposits should generally only be made from a bank account or payment instrument held in the Client’s name.
Withdrawals will generally be made to the verified Client or to the original and permitted payment method, unless legal, regulatory, or technical requirements provide otherwise.
Novellis may request additional documentation before processing a withdrawal, including evidence relating to the Client’s identity, source of funds, or payment method.
Withdrawals to unverified third parties are generally not permitted.
Withdrawal processing times may vary depending on the payment method, bank, payment service provider, compliance checks, and applicable legal requirements.
13. Anti-Money Laundering and Compliance
Novellis applies a risk-based approach to preventing money laundering, terrorist financing, fraud, and other forms of misuse.
The Company may monitor transactions and request additional information or documentation from the Client where necessary.
Where irregularities or compliance concerns are identified, Novellis may, in accordance with applicable law:
review transactions;
place payments on hold;
temporarily restrict accounts;
request additional KYC documentation;
terminate business relationships; or
notify the competent authorities.
Where prohibited by law, the Client may not be informed about certain internal investigations or reports.
14. KYC and Identity Verification
Novellis may request a renewed verification of Client information at any time.
The following documents may be requested in particular:
valid government-issued photo identification;
recent proof of residential address;
evidence of source of funds;
evidence relating to payment instruments used;
additional information concerning the beneficial owner.
Such information will be processed in accordance with applicable data protection laws and the Company’s Privacy Policy.
15. Account Suspension and Restrictions
Novellis may temporarily restrict or suspend a Client account where there is a reasonable suspicion of a breach of these Terms, applicable legal requirements, security requirements, or compliance rules.
Such action may be necessary in particular where:
the Client’s identity cannot be conclusively established;
requested documents have not been provided;
unusual transactions have been identified;
there is a suspicion of fraud;
a breach of applicable law is suspected; or
there is a security risk affecting the account or platform.
Where legally permitted, such measures will be reviewed and lifted once the underlying reasons no longer apply.
16. Termination of the Business Relationship
The Client may terminate the business relationship in accordance with the applicable contractual terms.
Novellis may also terminate the business relationship where this is contractually permitted and legally allowed.
Upon termination, outstanding obligations, fees, transactions, and any existing withdrawal claims will be settled in accordance with the applicable contractual terms and legal requirements.
17. Affiliate and Referral Program
Where Novellis operates an affiliate or referral program, additional participation terms shall apply.
Affiliates act independently and are not employees, representatives, agents, or legal representatives of Novellis.
An Affiliate must not, in particular:
make false or misleading statements about Novellis;
guarantee returns or profits;
use unauthorized promotional materials;
provide unauthorized investment advice;
solicit clients through false or misleading representations; or
use unlawful marketing methods.
Commission payments shall be made exclusively in accordance with the applicable Affiliate Terms.
18. Prohibition of Misleading Advertising and Spam
Marketing activities must comply with all applicable laws and regulations.
Unsolicited mass advertising, misleading advertising claims, impersonation, or other unlawful forms of advertising are prohibited.
In the event of a confirmed violation, affiliate status may be restricted, suspended, or terminated.
19. Intellectual Property
All content on the website and platform, including texts, graphics, logos, trademarks, designs, software, databases, and other materials, is protected by copyright or other applicable intellectual property rights unless expressly stated otherwise.
Without prior written consent, such content may not be reproduced, modified, published, distributed, sold, or used for the Client’s own commercial purposes.
The Novellis brand and all associated trademarks and identifiers may only be used pursuant to an expressly granted authorization.
20. Data Protection
The protection of personal data is an integral part of our business processes.
Personal data will only be processed in accordance with applicable data protection laws.
Further information regarding the nature, scope, purpose, and duration of data processing, as well as the rights of data subjects, is provided in the current Privacy Policy of Novellis.
21. Minors
The use of financial and trading services intended for Clients is restricted to persons who have reached the legally required minimum age.
Novellis may implement appropriate measures to verify age and identity.
22. Technical Availability
Novellis aims to maintain a secure and reasonably reliable operation of the platform.
However, continuous and uninterrupted availability cannot be guaranteed due to maintenance, technical failures, internet disruptions, cyberattacks, failures of external service providers, or other circumstances beyond the Company’s reasonable control.
Novellis shall only be liable for losses to the extent required under applicable law.
23. Limitation of Liability
Novellis’ liability shall be determined in accordance with mandatory applicable law.
To the extent permitted by law, the Company shall not be liable for indirect losses, consequential damages, or loss of profits that do not result from an intentional or grossly negligent breach of duty.
Mandatory statutory liability, including liability arising from intent, gross negligence, or mandatory consumer protection provisions, shall remain unaffected.
24. External Service Providers and Websites
The platform may contain links to or rely on services or content provided by third parties.
Websites, products, or services provided by third parties are subject to their own terms and conditions.
To the extent permitted by law, Novellis accepts no responsibility for the content or performance of external providers.
25. Legal and Regulatory Restrictions
The services offered by Novellis may not be available in every country or jurisdiction.
The Client is responsible for ensuring that the use of the services offered is legally permissible under the laws applicable to the Client.
Novellis may restrict access to certain services or refuse account applications from certain countries for legal, regulatory, compliance, or risk-related reasons.
26. Unlawful Activities
The platform must not be used for fraudulent, illegal, or otherwise unlawful activities.
Where there is reasonable suspicion of such activity, Novellis may take appropriate measures and, where legally required, notify the competent authorities.
27. Governing Law
These Terms shall be governed by the applicable laws of the United Kingdom, unless mandatory provisions of the laws of the Client’s country of residence provide otherwise.
For consumers, mandatory consumer protection provisions that cannot legally be excluded shall apply.
28. Severability
If any provision of these Terms is or becomes wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected.
The invalid or unenforceable provision shall, to the extent legally permissible, be replaced by a provision that most closely reflects the economic purpose of the original provision.
29. No Assignment
The Client may not assign or transfer any rights or obligations arising from the contractual relationship to third parties without the prior consent of Novellis, to the extent such consent is legally permissible and required.
30. Entire Agreement
These Terms, together with the applicable product terms, fee schedules, privacy provisions, KYC/AML policies, and other expressly incorporated contractual documents, constitute the basis of the business relationship between Novellis and the Client.
In the event of any conflict between individual documents, the more specific contractual provisions shall prevail, to the extent permitted by applicable law.
